Partner programme

Partner terms

Version 2026-09-12-v5 · 12 September 2026

These terms describe participation in the Rapportly partner programme operated by Rapportly B.V. We review your application first. Participation starts after our confirmation. Questions? Email vragen@rapportly.io.

The new commission terms apply only to customers attributed under this scheme. Previously attributed customers retain the scheme recorded at that time. Participation starts only after your application is accepted.

1. Definitions

Rapportly: the software and services at rapportly.io, a product of Rapportly B.V. ("we").

Partner: the individual or business participating in the programme after our written acceptance ("you"). You can apply as a private individual or on behalf of a business.

Customer: a new organisation attributed to you at its first signup through a recognisable, valid partner link. An existing customer or organisation with an ongoing registration or trial is not a new referral.

Monthly amount: the normal monthly subscription rate excluding VAT, including the users at the first payment. This reference amount is recorded at that payment and is not increased afterwards.

2. Application and participation

Apply using the form at rapportly.io/partners/aanmelden and choose Individual or Business. Individuals provide their full personal name; we do not request a Chamber of Commerce number for this individual application. Businesses provide their business or trading name and a valid eight-digit Dutch Chamber of Commerce number. You must be authorised to apply on behalf of the business.

We review your application, details and intended promotion before accepting participation. Only an authorised Rapportly administrator can approve the application. Submission does not yet entitle you to an active partner link or commission. Individuals and businesses receive the same standard commission under article 4.

Once accepted, your personal partner link is available in the partner portal. You are responsible for current and accurate contact, participant and payout details. Tell us as soon as possible if your name, business, participant type or tax status changes. The customer referral programme in article 10 is a separate scheme.

3. Referrals and attribution

The last valid, recognisable partner link in the 90 days before the first signup determines the partner association. If someone visits multiple partner links before signup, the last valid link may replace an earlier referral.

The association is recorded for the organisation at the first signup. A later partner link does not change it. The customer follows the normal signup process without entering a partner code or providing an additional partner confirmation.

Recognition across later visits requires consent for the necessary storage and availability of that storage. Without it, the link can be carried within the same visit. Recognition cannot be guaranteed when storage is cleared or blocked or when someone returns anonymously on another device.

If a referral is missing, contact us with the date and link used. We investigate available registration records. Only demonstrable tracking errors can be corrected; reporting a missing referral does not itself create a commission entitlement. Enterprise and bespoke introductions require an agreement recorded in writing in advance.

4. Commission and limit

For monthly billing, you receive 25% of subscription charges actually paid, excluding VAT, on up to the first ten paid monthly invoices. If the customer cancels and stops paying, no new commission accrues. An unpaid invoice does not earn commission.

For annual billing, you receive 25% of the first annual subscription invoice actually paid, excluding VAT. Annual commission accrues as one amount. Annual renewals do not earn new commission.

Total commission per attributed organisation is capped at 2.5 times the normal monthly amount at the first payment. This limit stays fixed when prices or user counts change. If billing switches from monthly to annual, previously accrued commission counts towards the limit: the annual invoice earns commission only to the extent the limit has not been reached.

For example, Pro+ for one user, with no additional discounts and excluding VAT: the customer pays €79.99 per month. Your commission is 25%, rounded to €20.00 per paid monthly invoice. Each of the first nine invoices earns €20.00; the tenth earns €19.98, keeping the total within the limit of 2.5 monthly amounts (€199.98, rounded to cents). With annual billing, the same customer pays €799.90 for 12 months of Pro+. You earn a one-off €199.98 commission on the first annual payment. This becomes available as one amount after 60 days, for the monthly payout cycle. In both cases, the total limit is €199.98; the payout conditions in article 5 still apply.

Discounts, credits, refunds and credit notes reduce the commission base. Separate credits, one-off services, implementation, onboarding, Enterprise and bespoke work are excluded from this standard scheme unless agreed otherwise in writing in advance.

The terms version and commission scheme are recorded for each customer association. Customers attributed under an earlier scheme retain the terms recorded for them.

5. Availability and payout

Commission stays pending for 60 days after receipt of the underlying customer payment. It then becomes available for the monthly payout, provided the customer payment has not been reversed and there is no substantiated hold.

Payout occurs monthly in arrears from €50 in available balance. A lower balance carries over to a future payout. For annual subscriptions, the available annual commission is included as one amount; the waiting period and threshold still apply.

Your portal distinguishes accrued, available and paid amounts. Commission shown as available is not confirmation of a completed bank payment. Payout requires complete and accurate participant and payment details, and the agreed invoicing information where applicable. You remain responsible for your own tax obligations. The tax, VAT and reporting rules that apply depend on the applicable rules and your circumstances. If required for statutory payout records or reporting, we request the necessary details separately.

6. Adjustments and refunds

If a customer payment is refunded, reversed or credited, we review the associated commission. A partial refund may initially reverse the entire pending commission entry. The appropriate commission amount is processed after administrative review. This is not an automatic proportional adjustment. An unpaid invoice does not earn commission.

Commission already paid that is invalidated by an adjustment may be offset against future payouts or reclaimed. Adjustments remain identifiable in the commission records.

7. Promotion and conduct

Clearly disclose on your own promotional channels that you may receive commission when someone becomes a customer through your link. Present yourself as an independent partner, not a Rapportly employee or exclusive representative. This does not require an extra step in the customer's signup process.

Use accurate, current information only. Do not promise guaranteed results, error-free AI output, discounts or features Rapportly does not offer. Do not share customer personal data or document contents in your promotion; use fictitious examples or material supplied by Rapportly.

Prohibited: referring yourself or a business you own or control, creating fake accounts or clicks, artificially forcing referrals, hiding their origin, sending unsolicited bulk messages or misleading others about a link's destination.

Advertising on the Rapportly brand name, variants or misspellings is prohibited. Paid campaigns using other keywords or channels require prior written approval. Do not use a domain, profile name or promotion that appears to be an official Rapportly channel.

Your own discounts, cashback, signup gifts and distribution through subaffiliates require prior written approval. An approved promotion does not change the normal customer signup process.

When a suspected breach occurs, we may temporarily hold the affected referrals and commissions and request an explanation. We record the reason. Correctable mistakes receive an opportunity for correction; proven fraud or repeated breaches may lead to termination and adjustment of invalid commissions. Legitimate, unrelated commission already accrued is preserved.

8. Data and privacy

The partner portal displays counts and commission amounts, with an anonymous reference where needed. You do not receive customer names, email addresses, transcripts, documents or end-customer details.

You are responsible for lawful processing of data on your own promotional channels and compliance with the GDPR and electronic communications rules. Only send messages to recipients you may lawfully contact.

The application form does not ask for a Dutch citizen service number (BSN). Provide only the details requested for your selected participant type. Any additional details required for statutory payout or reporting obligations are separate from the application.

9. Brand use, duration and changes

You may use the Rapportly name and logo as supplied by us solely to describe and promote Rapportly accurately. You do not obtain ownership of our brand name, text, images or software.

The partnership runs for an indefinite period; either party may terminate by email with one month's notice. After ordinary termination, no new customers can be attributed. Existing valid associations continue earning commission until their recorded limit is reached; article 6 still applies.

We may amend these terms for new associations with 30 days' notice. Previously attributed customers retain the scheme recorded under article 4.

10. Client referral programme (free months)

Give another business a good start with Rapportly. They receive one free base month. When they first pay for the base subscription, you earn one base month too.

Your colleague opens the link and then creates a new account. The last valid referral before registration counts. With consent, we remember the link for up to 90 days; without consent, it applies during the same visit.

You can only earn this month if you have an active paid subscription yourself. Your month becomes available once your colleague pays the first full invoice that includes a paid base subscription. The free base month and payments solely for additional users or add-ons do not qualify.

The benefit applies to Basic, Pro and Pro+, for one user. Additional users, storage, credits and other add-ons are charged as usual. Existing Enterprise and custom agreements continue to apply.

A new customer receives one free base month first. The selected monthly or annual subscription then starts at the regular price. During free periods, additional users and add-ons are billed monthly at the regular monthly price.

If the referrer has already paid for a year, earned free base months follow that year. The next paid year starts afterwards. The annual price remains unchanged: the benefit is extra time, with no discount on an annual invoice and no cash refund.

Only accounts with an active paid Basic, Pro or Pro+ subscription can invite others and earn free base months, up to twelve per calendar year. Free accounts cannot earn free months or build up a balance.

Only a new, independent organisation qualifies. Referring yourself, your own organisation or an existing subscriber does not qualify.

This benefit cannot be combined with other promotions. Existing discounts or custom billing arrangements remain in place; your balance waits for an eligible period.

Benefits cannot be transferred or exchanged for money. Unused benefits expire on cancellation. If the qualifying payment is refunded, disputed or suspected of misuse, we review the related reward. This programme never pays out money.

11. Liability and law

Our liability towards the partner is limited to the amount of commission paid to the partner in the 12 months before the event.

Dutch law applies to the partnership; disputes are submitted to the competent court in the district where Rapportly B.V. is established.
